Welcome to Desidera (the “Platform”). By accessing or using the Platform in any way, you agree to be bound by these Terms & Conditions (“T&C” or “Agreement”). Please read these T&C carefully before using the Platform. If you do not agree with any part of these T&C, you must not use the Platform.

1. Acceptance of Terms

1.1 Binding Agreement

These T&C form a legally binding agreement between you (“User,” “you,” or “your”) and GreenAnt (“we,” “us,” “our,” or “GreenAnt”), the owner and operator of the Platform. By using or accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these T&C.

1.2 Eligibility

You represent and warrant that you have the right, authority, and capacity to accept these T&C and to abide by all
the terms herein. If you do not have such capacity, you must refrain from using the Platform.

2. Scope of Services

2.1 Nature of the Platform

Desidera is an AI-powered satellite data analytics platform developed by GreenAnt, offering advanced environmental monitoring and climate risk assessment solutions. It provides actionable insights to users across various industries, including agriculture, insurance, and government organizations, enabling data-driven decision-
making.

2.2 Key Features and Services

Desidera provides the following core functionalities:

  • Advanced Flood Intelligence: Real-time flood monitoring and predictive modeling integrating river discharge,soil drainage, and geophysical indicators.

  • Crop Monitoring and Yield Forecasting: AI-driven models leveraging SAR and optical data to track soilmoisture, water content, and vegetation health for yield predictions.

  • Biodiversity and Ecosystem Monitoring: Tracking vegetation cover, soil health, and deforestation trends withhistorical data analysis spanning 15+ years.

  • Disaster Impact Evaluation: Near-real-time post-event analysis, enabling efficient response and recoveryplanning for governments and aid organizations.

  • Infrastructure Risk Screening: Identification of hidden environmental risks affecting critical infrastructure andecosystems.

2.3 No Guarantee of Results

GreenAnt does not guarantee any specific outcome or result from your use of the Platform. All content, materials, and services are provided on an “as is” and “as available” basis for informational purposes only. GreenAnt, as the provider of the services and features embedded in the Platform, may provide an estimation of the
services to be supplied under this Agreement. User acknowledges and agrees that any such estimation provided by GreenAnt is a rough approximation and not exact or precise. The actual quality or specifics of the services supplied by the use of the Platform may vary from such estimation, depending on the external factors beyond
GreenAnt’s control such as weather, momentarily changes in image generation as well as other technicalities the Services have in nature. GreenAnt makes no guarantees, warranties or assurances, express or implied, that the actual supply of any service or features in the Platform will conform to such estimation. GreenAnt will not be held liable or responsible for any difference between the estimation provided and the actual services supplied under this Agreement.

3. User Responsibilities

3.1 Use of the Platform

You agree to:

  • Comply with all applicable laws and regulations in connection with your use of the Platform.

  • Use the Platform solely for lawful purposes.

  • Provide accurate and truthful information when creating an account, if applicable.

3.2 Prohibited Activities

You must not:

  • Use the Platform in any manner that could disrupt or interfere with other users’ experience.

  • Infringe upon the intellectual property rights of others.

  • Upload or transmit any viruses or other malicious code.

4. Intellectual Property

4.1 Ownership

All content on the Platform, including but not limited to text, graphics, logos, images, data, and algorithms, is the property of GreenAnt or its content suppliers and is protected by applicable intellectual property laws.

4.2 Limited License

GreenAnt grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly in accordance with these T&C.

4.3 Third-Party Content

The Platform may incorporate content from third parties. GreenAnt does not endorse or assume any responsibility for any third-party content, links, or services available through the Platform.

5. Disclaimers

5.1 No Warranty

To the fullest extent permitted by law:

  • The Platform is provided on an “as is” and “as available” basis.

  • GreenAnt does not represent or warrant that the Platform will be uninterrupted, error-free, accurate, reliable, orfree of harmful components.

5.2 No Liability for Errors

GreenAnt is not responsible for, and will not be held liable for, any incorrect or inaccurate content posted on the Platform.

5.3 User Decisions

Any decisions or actions taken by you based on information provided on or through the Platform are taken at your own risk.

6. Limitation of Liability

6.1 Exclusion of Certain Damages

GreenAnt shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your access to, use of, or inability to use the Platform.

6.2 Limit on Liability

GreenAnt’s total liability for any claims arising out of or relating to these T&C shall not exceed the amount actually
paid by you to GreenAnt for the use of the Platform in the past 12 months.

7. Indemnification

You agree to defend, indemnify, and hold harmless GreenAnt from any and all claims, liabilities, damages, losses, costs, and expenses arising out of or in any way connected with:

  1. Your access to or use of the Platform;

  2. Your violation of these T&C;

  3. Your infringement of any intellectual property or other rights of any person or entity.

8. Modifications to These T&C

GreenAnt reserves the right to modify or revise these T&C at any time. Changes will be effective immediately upon posting on the Platform.

9. Termination

GreenAnt may suspend or terminate your account or access to the Platform at any time and for any reason, with or without notice.

10. Governing Law & Dispute Resolution

10.1 Governing Law

These T&C shall be governed by and construed in accordance with the laws of The Netherlands, without regard to conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of these T&C shall be resolved through good-faith negotiations. If unresolved, it shall be settled by binding arbitration in The Netherlands under the rules of the Dutch Arbitration Institute.

11. Miscellaneous Provisions

11.1 Entire Agreement

These T&C constitute the entire agreement between you and GreenAnt regarding the Platform.

11.2 Severability

If any provision of these T&C is held invalid, the remaining provisions will continue in full force and effect.

11.3 No Waiver

GreenAnt’s failure to enforce any right under these T&C will not operate as a waiver of that right.

11.4 Assignment

You may not transfer your rights or obligations under these T&C without GreenAnt’s prior written consent.

11.5 Force Majeure

GreenAnt shall not be liable for any failure to perform its obligations due to causes beyond its reasonable control.
